BUSINESS TO BUSINESS (B2B) WITH CLEANCARE SUPPLIES LIMITED
TERMS OF TRADE
These terms of trade ("Terms") govern all supplies from CLEANcare Supplies Limited to you the customer.
PRICING:
All prices exclude Goods and Services Tax (GST). In addition to the price, you must pay the GST on the supply at the rate applicable at the time of supply. CLEANcare Supplies Limited will issue you with a GST invoice.
Prices are subject to change without notice.
CLEANcare Supplies Limited standard delivery fees may apply for all goods that CLEANcare Supplies Limited delivers to you.
TIME FOR PAYMENT OF INVOICES:
Invoices are due for payment to CLEANcare Supplies Limited on or before the 20th of the month following purchase.
CLEANcare Supplies Limited may charge interest compounding monthly on the overdue balance at the rate of 2.5% per month.
CLEANcare Supplies Limited may charge you costs incurred including debt collection and legal costs and may suspend sale or delivery of further goods until the account is paid in full.
EVENTS IN WHICH IMMEDIATE PAYMENT MAY BE REQUIRED:
All amounts outstanding will become immediately due and owing and you will be in breach of these terms if the information given in your application for credit is not correct and you have failed to correct this information within five days of CLEANcare Supplies Limited request, or if, in CLEANcare Supplies Limited opinion there is significant risk that you cannot or will become unable to pay your debts as they fall due including if you become insolvent, enter into a compromise with your creditors, commit and act of bankruptcy, or if a receiver, liquidator, administrator or Statutory Manager is appointed over any of your assets or undertakings.
TIME THAT RISK PASSES:
Risk in any goods that CLEANcare Supplies Limited supplies to you on the earlier of actual receipt by you or delivery to the address for delivery specified by you.
OWNERSHIP OF GOODS:
Legal and equitable ownership of all goods supplied by CLEANcare Supplies Limited is retained by CLEANcare Supplies Limited until full payment is made by you of all amounts you owe to CLEANcare Supplies Limited.
PRIVACY ACT 1993:
You acknowledge and agree that any information which you have supplied to CLEANcare Supplies Limited (including any personal information as defined in the Privacy Act) is able to be used by CLEANcare Supplies Limited. CLEANcare Supplies Limited may use the information provided for credit checking purposes, for debt collection purposes and to provide you with information about CLEANcare Supplies Limited and our goods, services, promotions and events. Any personal information that you provide to CLEANcare Supplies Limited will be collected and held at 2a Anzac Street, Gisborne. Under the Privacy Act, if you are and individual, you have rights of access to, and correction of, personal information held.
OBLIGATION TO MAINTAIN CONFIDENTIALITY AND PREVENT FRAUD:
Your pricing and any credit terms with CLEANcare Supplies Limited is confidential and you must maintain that confidentiality. You are responsible for ensuring that CLEANcare Supplies Limited account details are not provided to or disclosed to any person other than those persons within your organisation who are expressly authorised to act on your behalf. You are liable for all purchases on your CLEANcare Supplies Limited account including those made fraudulently where you have failed to comply with this clause. You will not be liable for purchases by unauthorised persons from the time CLEANcare Supplies Limited receives your advice in writing of lost or stolen account details.
EXCLUSIONS AND LIMITATIONS OF LIABILITY:
You acknowledge that all your purchases from CLEANcare Supplies Limited are for the purposes of business (including company, club, institution, charity or community group).
You acknowledge that, to the fullest extent of permitted by the law:
All guarantees, warranties and conditions implied by the Consumer Guarantees Act 1993 or the Sale of Goods Act 1908 or otherwise are expressly excluded.
Subject to any mandatory labeling or other requirements, CLEANcare Supplies Limited does not warrant that any goods it sells will meet any particular specifications or be fit for any particular purpose.
Any claims concerning goods must be made within 48 hours of receipt of the goods for damaged goods or the due date for delivery for missing goods. Invoice numbers and dates must be supplied as proof of purchase. Where CLEANcare Supplies Limited accepts liability for damaged or missing goods, the only liability is to either, at its option, resupply the goods or refund all or part of the purchase price of the goods.
CLEANcare Supplies Limited will not in any circumstances be liable for any direct or consequential loss or damage nor for any loss of business, loss of production, property, profit, goodwill, or business opportunity or overheads however caused, which may be suffered or incurred or which may arise directly or indirectly in respect of CLEANcare Supplies Limited failure or omission to comply with its obligations, even if CLEANcare Supplies Limited had been advised of the possibility of such damage or loss, and whether such claim is made in contract, tort or otherwise.
GENERAL CONDITIONS:
CLEANcare Supplies Limited reserves the right to change these Terms from time to time.
If CLEANcare Supplies Limited fails to enforce any terms or fails to exercise and right under these Terms at any time, CLEANcare Supplies Limited has not waived that Term or right.
If any of these terms is held to be invalid or unenforceable for any reason, the remaining provisions remain in full force.
